Notice for Public Hearing

CHARLESTON, SC— Notice is hereby given by the Charleston County Aviation Authority (the “Authority”), the governing body of the Charleston County Airport District (the “District”) to all interested persons that a public hearing will be held regarding the proposed plan of finance by the District to issue Airport Revenue Bonds (the “Bonds”). The plan of finance includes the issuance of tax-exempt Bonds in the maximum principal amount of $155,000,000 (the “2023 Bonds”) for the purpose of currently refunding taxable Bonds to be issued during calendar year 2022 (the “2022 Bonds”). The Series 2022 Bonds are being issued to refund the District’s outstanding Airport Revenue Bonds, Series 2013 (the “2013 Bonds”). The 2023 Bonds are intended to be issued as qualified exempt facility bonds for an airport project under Section 142(a)(1) of the Internal Revenue Code, as amended (the “Code”).

The District used the proceeds of the 2013 Bonds to acquire and construct certain improvements to the Charleston International Airport pursuant to a capital improvement plan known as the Terminal Redevelopment and Improvement Program (the “Project”). The Project is located at the Charleston International Airport, 5500 International Blvd., Charleston, South Carolina 29418-6911. The Project is owned by the District (and has been owned by the District since the issuance of the 2013 Bonds and will continue to be owned by the District beyond the issuance date of the 2023 Bonds). The Project included renovated and expanded concourses, increased ticket counter positions, a consolidated security screening checkpoint, an improved baggage screening system and sorting process, expansion of the baggage claim area, improved concessions facilities, facilities for the delivery and distribution of concessions supplies and materials, relocation of administrative offices, a new rental car pavilion, new public restrooms, upgrades to the building infrastructure including heating, ventilation, air conditioning (HVAC) systems, lighting systems, fire prevention, energy efficiency, and compliance with the Americans with Disabilities Act.

Pursuant to IRS Revenue Procedure 2022-20 allowing remote telephonic hearings to qualify as “public hearings” required for private activity bonds under Section 147(f) of the Code, the public hearing will be conducted telephonically on Wednesday, August 18, 2022 at 10:00 a.m. Eastern time, and the public will not be able to attend in person. However, all persons who wish to speak (subject to the conditions provided in the next sentence) or listen to the public hearing may join by calling toll-free at 1-866-528-2256 and using access code 4222576. All persons who intend to express their views for or against the proposed issuance of 2022 Bonds or the 2023 Bonds, the nature of the financing, or the approval of the issuance of the 2022 Bonds or the 2023 Bonds must contact the Authority, not less than 24 hours prior to the public hearing, via email to bjames@iflychs.com to inform the Authority of your intent to do so. Those who participate in the public hearing will be permitted to address the Authority regarding the financing, the Project, the 2022 Bonds, or the 2023 Bonds for a period of up to three minutes. Written comments must be received by the Authority on or before 10:00 a.m., August 18, 2022, the date of the public hearing, in order to be considered.
